GTCR and Elliott to Acquire Insurtech Leader CCC Intelligent Solutions in $6.1 Billion Go-Private Deal
By Lauren Towner · 20 October 2026

CCC Intelligent Solutions, a dominant provider of SaaS and AI for the insurance economy, has entered into a definitive agreement to be acquired by a consortium led by GTCR and Elliott Investment Management. The $6.1 billion take-private deal signals a significant shift for the claims and repair ecosystem, as the industry’s central data hub prepares for an accelerated push into agentic AI capabilities.
What was announced
The acquisition is an all-cash transaction with an enterprise value of approximately $6.1 billion. Under the terms of the agreement, CCC stockholders are set to receive $7.75 in cash for each share of common stock. This price represents a 44% premium over the company’s unaffected closing price on July 9, 2026, and a 59% premium over its 30-day average price leading up to that date. The transaction is not subject to a financing condition and has already received approval from the CCC Board of Directors.
The deal is expected to close in the first quarter of 2027, pending customary closing conditions, regulatory approvals, and the consent of CCC stockholders. Upon completion, CCC will transition from a publicly traded entity on the Nasdaq to a privately held company. Until the closing date, CCC will continue to operate as an independent business. The company has also confirmed it will release its third-quarter 2026 financial results on October 29, though it will forgo the traditional conference call in light of the pending sale.
Strategic advisors for the deal include Morgan Stanley & Co. LLC and Kirkland & Ellis LLP for CCC. GTCR is being advised by J.P. Morgan and Citi, with legal counsel provided by Simpson Thacher & Bartlett LLP. Elliott Investment Management is represented by Gibson, Dunn & Crutcher LLP and Debevoise & Plimpton LLP.
"Throughout CCC’s history, we have helped customers navigate growing complexity and achieve better outcomes through technology and innovation."

The companies involved
Chicago-based CCC Intelligent Solutions operates at the heart of the multi-trillion-dollar insurance economy, connecting more than 35,000 businesses. Its platform serves a vast ecosystem of property and casualty (P&C) insurers, automotive repair facilities, parts suppliers, and automakers. The company has spent four decades aggregating industry data and over ten years embedding AI into mission-critical workflows to streamline the claims and repair lifecycle.
GTCR is a prominent private investment firm that has recently been active in the technology and financial services sectors. The firm has a history of managing large-scale transitions, including the recent sale of Worldpay. Elliott Investment Management L.P., a global private equity and investment firm, joins GTCR in this consortium. Elliott views CCC as a durable franchise within vertical software, noting that the company’s position as a trusted third party creates significant data advantages and network benefits for its massive customer base. Together, the investors intend to support CCC’s next phase of growth by focusing on product innovation and the expansion of its AI-driven offerings.
What FF News has reported before
FF News has closely followed the strategic moves of both CCC and its new owners. In early 2022, CCC Acquires Insurtech Safekeep, a move that bolstered its subrogation capabilities through AI-driven automation. Meanwhile, GTCR has been highly active in the broader technology market, as seen when GTCR Acquires Innovative Systems in 2025 and when GTCR Completes Sale of Worldpay to Global Payments in early 2026. The broader claims communication space has also seen movement, such as when Hi Marley Launches Unite to Centralize P&C Insurance Service Provider Communications, highlighting the industry-wide push to unify the fragmented repair and claims network that CCC leads.
What this means from an insurtech perspective
This acquisition highlights the immense value of "network-effect" platforms in the P&C sector. For carriers and MGAs, CCC is less of a vendor and more of a utility; by taking the company private, GTCR and Elliott are betting that the next generation of "agentic" AI—where software doesn't just suggest a decision but executes it—will be most effective when built on top of CCC’s existing data moat. This puts significant pressure on smaller, point-solution insurtechs in the claims space to either find a niche or seek acquisition. For the broader industry, the focus now shifts to how private ownership will influence CCC’s pricing power and its pace of legacy core-system modernization, which remains a bottleneck for many insurers seeking true end-to-end claims automation.
