Guidewire to Acquire hyperexponential for $2.1 Billion to Revolutionize Agentic Underwriting
By Lauren Towner · 27 October 2026

Guidewire’s $1.7 billion acquisition of hyperexponential signals a massive consolidation of core insurance systems and advanced AI-native pricing technology. For commercial P&C insurers, this move bridges the gap between legacy policy administration and modern algorithmic underwriting, promising to integrate high-fidelity risk assessment directly into the core workflow to improve loss ratios and speed up submissions.
What was announced
Guidewire has entered into a definitive agreement to acquire Hyperexponential Ltd (known as "hx") for a base purchase price of $1.7 billion in cash. The deal includes an additional $400 million in contingent consideration, which is tied to the achievement of specific recurring revenue targets. The transaction is expected to close in the second quarter of Guidewire's fiscal year 2027, funded through a combination of $1.0 billion in new term loan financing and existing cash reserves.
Hyperexponential is a London-based provider of an AI-native underwriting and pricing platform designed specifically for commercial lines P&C insurers. The platform is built on an "agentic" model, where AI agents assist underwriters and actuaries in assessing and pricing risks across a spectrum ranging from high-volume commercial business to complex specialty risks. At the time of the announcement, hyperexponential’s technology already powers underwriting decisions for more than $75 billion in annual commercial P&C premium for a global client base of insurers, reinsurers, and managing general agents (MGAs).
From a financial perspective, Guidewire expects the acquisition to be a significant driver of growth. The transaction is projected to contribute at least 650 basis points to Guidewire’s fiscal year 2027 ARR growth on an inorganic basis. Following the initial integration, the company anticipates the acquisition will contribute at least 150 basis points to its durable organic ARR growth starting in fiscal year 2028.
The companies involved
Guidewire (NYSE: GWRE) is a dominant force in the P&C insurance technology sector, providing the core platform that many of the world's largest carriers rely on for policy administration, billing, and claims management. The company has undergone a significant transformation in recent years, shifting its focus toward cloud-based delivery and building an extensive ecosystem of third-party integrations to modernize legacy insurance operations.
Hyperexponential, or hx, is a London-based scale-up that has rapidly established a leading position in the specialty and commercial pricing space. The company’s platform was designed to replace the fragmented spreadsheets and manual processes that have historically slowed down complex underwriting. Before this acquisition, hyperexponential was already an established Guidewire PartnerConnect Technology Alliance Partner, meaning its software was already being integrated into Guidewire environments by mutual customers. The company has a particularly strong foothold in the United Kingdom’s commercial and specialty markets, where its AI-native approach has gained significant traction among global reinsurers and large-scale MGAs.
What FF News has reported before
FF News has closely tracked Guidewire’s strategic expansion of its ecosystem and its push toward AI-driven modernization. We recently highlighted how the ISG Report: P&C Insurers Accelerate Cloud Migration and AI Adoption via Guidewire Ecosystem found that carriers are increasingly using Guidewire as a hub for digital transformation. This acquisition follows a pattern of deepening technical partnerships, such as when CASE3 Technologies Joins Guidewire PartnerConnect to Drive AI-Led Insurance Transformation. We have also covered the platform's role in reducing operational fragmentation, notably in Hyland Launches Validated Cloud Integrations for Guidewire to Unify P&C Insurance Operations, and its engagement with early-stage innovation through the Vanguard program, as seen when StreamSettle Joins Guidewire Insurtech Vanguards to Revolutionize Claims Settlement.
What this means from an insurtech perspective
This acquisition is a definitive move to capture the "underwriting workbench," a space that has historically been fragmented between spreadsheets and siloed pricing tools. By embedding AI-native pricing into the core system, Guidewire puts immense pressure on standalone pricing vendors and legacy modeling software providers. For carriers, the promise of "agentic underwriting" addresses the talent gap in the actuarial profession by automating routine risk assessments, allowing human underwriters to focus on high-complexity specialty risks. The success of this merger will likely be measured by how effectively Guidewire can integrate hx’s agile, London-market DNA into its broader corporate structure to provide a seamless "submission-to-bind" experience for global commercial insurers.
