FWD to Buy 25% Stake in bolttech Insurance (Hong Kong) for US$20.72m
By Effie Foxtrot · 12 October 2026
In brief: FWD Group has agreed to buy a 25% stake in bolttech Insurance (Hong Kong) for a base price of US$20.72 million, adjustable downwards based on net assets, solvency and combined ratio; bolttech keeps 75%.

FWD Group is taking a 25% stake in bolttech Insurance (Hong Kong), the general insurer it sold to bolttech in 2020, in a deal with a base price of US$20.72 million. The price can only move down, and it is tied to the insurer's net assets, solvency and underwriting results at completion.
What was announced
In an announcement to the Hong Kong stock exchange on 12 October 2026, FWD said its wholly owned subsidiary FWD Limited had agreed on 10 October to buy 429,315 ordinary shares in bolttech Insurance (Hong Kong) from Bolttech Discovery Holdings, a wholly owned subsidiary of bolttech Holdings. bolttech keeps a 75% controlling stake, and FWD described its holding as a non-controlling minority interest. The deal is funded from FWD's internal resources.
The final price will be the base consideration less any closing adjustment. That adjustment is set by the insurer's net asset value, solvency ratio and combined ratio at the end of the last fiscal quarter before completion. Completion needs consent, or a notice of no objection, from Hong Kong's Insurance Authority.
Context
The insurer traded as FWD General Insurance until bolttech bought it in late 2020, and was renamed bolttech Insurance in 2023. FWD and bolttech both sit within Richard Li's Pacific Century Group, which makes the deal a connected transaction under Hong Kong listing rules. Li, an FWD executive director and controlling shareholder, abstained from the board vote. The business made a post-tax loss of about HK$31 million in 2025 and a post-tax profit of about HK$21 million in the first half of 2026, with net assets of HK$349 million at 30 June.
The two companies say the stake strengthens their existing alliance in group medical insurance and widens cooperation on personal general insurance products, distribution and customer service.
Why it matters
Pricing the deal off solvency and combined ratio is a clear signal that FWD wants paying only for underwriting discipline it can see. For bolttech, a minority partner with a large Asian life and health distribution footprint brings capital and channel reach into its Hong Kong carrier, while it keeps control. The policies and the underwriting entity do not change, so brokers and customers see no immediate difference.
